[Section 2.8] is amended by deleting the last four sentences of such Section.

[Section 2.2] # shall be terminated and fail as of the date of this amendment. No additional consideration shall be payable related to the future performance of the Company.

[Section 2.9.5] shall apply upon In Vivo Proof-of-Concept (as defined in [Section 2.9.5]) being achieved for a [Schedule 1.93] Target.

[Section 2.2] of the Credit Agreement is hereby amended and restated in its entirety as follows:

[Section 2.5] of the Loan Agreement is hereby amended by deleting the word “and” immediately following [Section 2.5(c)], replacing “.” at the end of [Section 2.5(d)] with “; and” and adding [Section 2.5(e)] thereto as follows:

[Section 2.16] (Increase in Commitments) of the Credit Agreement is hereby amended by replacing the lead in phrase “At any time prior to the Business Day immediately preceding the Maturity Date…” with the phrase “At any time after the Amendment No. 1 Effective Date but prior to the Business Day immediately preceding the Maturity Date….”

[Section 2.04(b)] of the Credit Agreement is hereby amended by adding at the end of the first sentence of such [Section 2.04(b)] and immediately before the period: “; provided that,

[Section 2.04(c)] of the Credit Agreement is hereby amended by replacing the reference to “$100,000,000” in such [Section 2.04(c)] with a reference to “$200,000,000”.

[Section 2.2] of the Collateral Agreement is restated in its entirety as follows:

[Section 2.3] of the Collateral Agreement is amended to replace each reference to “Subsidiary Borrower Obligations” appearing therein with “Obligations”.
